1. Acceptance of Terms

By accessing and using AudiBound ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use our Service.

2. Description of Service

AudiBound provides a platform for creating, converting, and managing audiobooks. Our services include:

• Desktop application for audiobook conversion and binding
• Cloud storage for audiobook files
• Web portal for audiobook management and playback
• AI voice synthesis for audiobook narration

3. Copyright Ownership & Privacy Guarantee

You own all content you create. We do not claim rights to your audiobooks or any content you upload, convert, or create using our Service. All intellectual property rights in your content remain yours.

3.1 AI Processing & Model Training Policy

Audibound does not train proprietary artificial intelligence, machine learning, or voice synthesis models on your uploaded manuscripts, text files, voice recordings, or completed audiobooks. When using our Cloud or Studio web services, your files are processed securely through third-party service providers and sub-processors to perform automated conversion validation, formatting, voice synthesis, and audio generation. This processing is subject to those providers' respective terms, and we do not claim any ownership rights to your inputs or outputs.

3.2 Local-First Desktop Processing Guarantee

For the Audibound desktop application (macOS app), we guarantee absolute local data privacy. All audiobook conversion, binding, and file processing are executed entirely on your own local computer using your own hardware. Your content files (including manuscripts, raw audio segments, cover art, and final builds) are never uploaded to our servers or transmitted to any third parties. The desktop application only connects to the network to perform secure license validation checks and check for software updates.

4. Platform Voice License

AI voice features are provided subject to the following terms:

• Audibound grants you a perpetual, commercial, royalty-free pass-through license to use the AI voices generated by the platform for your audiobooks
• You may use platform voices for commercial audiobooks without attribution
• Custom voice cloning is prohibited - Platform voices only
• No celebrity voice cloning - Cloning public figures' voices is strictly forbidden
• Expression cloning (emotion transfer) may be permitted for certain voices

5. User Responsibility

You are responsible for the copyright of all content you upload, including:

• Text, scripts, and manuscripts
• Cover art and images
• Background music and audio
• Any other materials used in your audiobooks

You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions for all content you upload to our Service.

6. Prohibited Conduct

You agree NOT to:

• Upload or create content that infringes on others' copyrights
• Use the Service to pirate commercial audiobooks
• Clone celebrity voices or impersonate public figures
• Create content that is illegal, harmful, threatening, abusive, or obscene
• Attempt to reverse engineer or hack the Service
• Share your account credentials with others
• Use automated tools to abuse the Service (excessive API usage, etc.)

7. DMCA Compliance

We respect intellectual property rights and respond to valid DMCA takedown notices. If you believe your copyrighted work has been infringed, please contact us at:

Repeat copyright infringers will have their accounts terminated. Users may submit a counter-notice if they believe content was removed in error.

8. Subscriptions and Credits

Pay-As-You-Go Credits (Studio): Credits never expire and remain in your account until used. Credit purchases are final and non-refundable.

Yearly License (Converter/Binder): Billed annually. Includes a 30-day money-back guarantee for first-time purchases. Non-refundable after 30 days. You may cancel to prevent auto-renewal.

Free Starter Credits: 10,000 free credits for first-time Studio users. No credit card required.

9. Account Suspension

We reserve the right to suspend or terminate your account if:

• You violate these Terms of Service
• You engage in fraudulent activity
• You upload illegal or copyright-infringing content
• Excessive usage threatens service stability for other users
• You fail to pay subscription fees

10. Service Availability

We strive to provide 99.9% uptime, but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience downtime. We are not liable for any losses resulting from service interruptions.

11. Data Backup & Deletion

While we maintain backups of user data, you are responsible for maintaining your own backupsof your audiobook files. We are not liable for data loss.

If you cancel or delete your account, your files are permanently deleted from our cloud servers after a 30-day grace period. You own your files, but you must download them before this period expires.

12. Metadata Branding

By default, audiobooks converted with AudiBound may include "Converted by AudiBound" in metadata. This branding is optional and can be disabled in your account settings.

Adding this metadata tag does not constitute a claim of ownership or copyright over your work. You continue to own your files completely.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDIBOUND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

14. Indemnification

You agree to indemnify and hold harmless AudiBound from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or platform notification. Continued use of the Service after changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AudiBound operates, without regard to its conflict of law provisions.
